Subject: Resignation of the Board of Directors
To: President, The Stock Exchange of Thailand
Due to the current change of the country's top leaders, all members of the Board of Directors of Airports of Thailand Public Company Limited (AOT) have resigned from the positions, effective from January 20, 2009 onwards, in order to provide the opportunity for the shareholders to elect the new members of the Board of Directors as appropriate.
According to section 74 of Public Limited Companies Act B.E. 2535, it is stated that the leaving Board of Directors shall remain in the positions to conduct the company's business as necessary until the vacant positions are filled by the new Board of Directors. The leaving Board of Directors shall also arrange the Meeting of Shareholders to elect the new Board of Directors within one month from the date of leaving. Therefore, the leaving Board of Directors shall still remain in the positions and be in charge of conducting AOT's business as necessary and arranging the Annual General Meeting of Shareholders on January 23, 2009.
